How is post-money valuation calculated?
Post-money valuation is simply pre-money valuation plus the amount being raised in the round. See our pre-money vs. post-money guide for a full explanation.
Why does adding an option pool change my ownership number?
When a new or expanded option pool is created as part of a round, it is typically carved out before the round closes, diluting existing shareholders (and, depending on structure, sometimes new investors) in addition to the dilution from the new capital itself.
Does this calculator account for SAFEs or convertible notes already outstanding?
No — this is a simplified, single-round illustration. A company with outstanding SAFEs or notes will see additional dilution when those convert; see our cap tables guide for how to think about that.
